The terms we work under.

BearingBridge Ltd is registered in Hong Kong and operates bearingbridge.ai. These terms govern your use of the site and, where no separate contract exists, our services.

Using the site means you accept them. If you are accepting on behalf of a company, you confirm you have the authority to bind it.

BearingBridge is a consultancy working across consulting, data, AI, and technology: strategy and operating model work, data foundations, applied AI systems, and the engineering that puts them into production. We also license our own product, bearingbridge intelligence.

Scope, deliverables, timelines, acceptance criteria, and fees are set out in the engagement letter for each piece of work. Nothing on this website is an offer, a quote, or a commitment to deliver a particular outcome.

The site is here to be read, cited, and shared. It is not here to be mined, cloned, or attacked. You agree not to do the following.

• Use the site for anything unlawful, or in breach of any regulation that applies to you.
• Send spam, malware, or automated bulk submissions through our forms.
• Attempt to gain unauthorised access to any system, account, or network connected to the site.
• Scrape, harvest, or systematically copy content without our written permission.
• Interfere with the operation, availability, or security of the site, or with anyone else’s use of it.

Quoting a passage with attribution and a link is welcome and needs no permission.

Everything on this site, including text, design, code, diagrams, and marks, belongs to BearingBridge or its licensors unless stated otherwise. Reading it grants you no licence beyond ordinary personal and internal business use.

Work produced for a client transfers to that client on full payment of the fees due, unless the engagement letter says otherwise. We retain ownership of our methods, frameworks, templates, generic components, and anything we brought to the engagement or developed independently of it, and we may reuse them freely.

Our work depends on the quality of what we are given. As a client, you agree to do the following.

• Give us accurate, complete, and timely information, access, and decisions.
• Nominate someone with the authority to approve work and unblock it.
• Review deliverables within the window set in the engagement letter. Silence past that window counts as acceptance.
• Confirm that any material you supply is yours to supply and does not infringe anyone’s rights.
• Meet your own regulatory obligations regarding the data you place in our hands.

Fees, currency, and billing rhythm are set in the engagement letter. Where nothing else is agreed, retained work is invoiced monthly in advance and project work against the milestones named in the letter.

Payment terms

Invoices fall due thirty days from the date of issue unless the engagement letter states another period.

Late payment

Overdue amounts may carry interest at 1.5 percent per month, accruing daily from the due date.

Suspension

We may pause work and withhold deliverables where an invoice remains unpaid more than fifteen days after the due date. We will tell you before we do.

Taxes and expenses

Fees exclude applicable taxes and pre-approved out-of-pocket expenses, which are billed at cost.

Each party protects the other’s confidential information, uses it only for the engagement, and discloses it only to people who need it and are held to equivalent obligations. That duty survives the engagement by two years, and indefinitely for trade secrets and personal data.

It does not cover information that is already public, was already known without a duty of confidence, is independently developed, or must be disclosed by law. Where disclosure is compelled, we tell you first unless we are forbidden from doing so.

How personal data is handled is set out in our privacy policy.

We warrant that our services are performed with the reasonable skill and care expected of a competent professional in our field. Beyond that, the site and its content are provided on an as-is basis without warranties of any kind, express or implied.

AI systems are probabilistic. We will tell you plainly what a model can and cannot be relied on to do, and we design for human review where the stakes require it, but we do not warrant that any model output is accurate, complete, or fit for a decision taken without that review.

Neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, or data. Our total liability arising from an engagement is capped at the fees you paid us for that engagement. Nothing here limits liability for fraud, wilful misconduct, or anything else that cannot lawfully be limited.

You agree to defend and hold us harmless against claims, damages, and reasonable costs arising from your misuse of the site, your breach of these terms, or an allegation that material you supplied infringes a third party’s rights.

Either party may end an engagement on the notice set out in the engagement letter. We may suspend or withdraw access to the site at any time where these terms are materially breached.

On termination you pay for work performed and commitments already made up to that date, we hand over the deliverables covered by fees already paid, and the clauses that are meant to outlive the engagement, including confidentiality, intellectual property, and liability, continue to apply.

These terms are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction over any dispute arising from them, and both parties submit to it.

Before litigating, both parties agree to raise the issue in writing and to attempt a resolution in good faith within thirty days.

We may revise these terms. The date at the top of the page changes when we do, and continued use of the site after that means you accept the revised version. Terms that apply to a signed engagement are only changed by written agreement between us.

If a provision is found invalid or unenforceable, it is severed and the rest stays in force. A right we do not enforce immediately is not a right we have given up.
